Terms of Service

These Terms of Service ("Terms") govern your use of the website at netaddons.in and any services provided by NetAddons Digital Solutions ("NetAddons", "we", "us", or "our"), a digital technology company based in Kozhikode, Kerala, India. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By visiting our website, submitting an enquiry, or entering into a service agreement with NetAddons, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not accept these Terms, please refrain from using our website or services.

These Terms apply to individuals, businesses, and organisations that engage NetAddons for digital services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Services

NetAddons provides the following categories of digital services to clients across India and internationally:

• Web Design and Development — custom websites, landing pages, e-commerce solutions
• Search Engine Optimisation (SEO) — technical SEO, content strategy, local SEO, link building
• Web Hosting — managed hosting setup, domain registration assistance, DirectAdmin hosting
• Software Development — custom business software, CRM systems, web applications
• Mobile App Development — Android and iOS apps using Flutter and native frameworks
• AI Solutions — AI integrations, automation, LLM-powered tools, and workflow automation

The scope of work for each engagement is defined in a written proposal. We reserve the right to decline any project at our discretion.

3. Project Agreements

All client engagements are formalised through a written proposal or quotation that outlines:

• The specific deliverables and scope of work
• Project timeline and milestone dates
• Total cost and payment schedule
• Number of included revisions

Work on any project will commence only after the client has reviewed and accepted the proposal and made the required advance payment. Verbal agreements or email confirmations alone do not constitute a binding project agreement — a written proposal acceptance is required.

Any changes to the agreed scope of work must be agreed in writing before implementation. Scope changes may affect the project timeline and cost.

4. Payment Terms

Our standard payment structure is as follows:

• 50% advance payment is due before work commences on any project.
• Remaining balance is due upon project completion and before final delivery or go-live.
• For larger projects, a milestone-based payment schedule may be agreed upon in the proposal.

Accepted payment methods include bank transfer (NEFT / RTGS / IMPS), UPI, and other payment modes as agreed. All invoices are issued in Indian Rupees (INR).

GST: All applicable Goods and Services Tax (GST) will be charged at the prevailing rate and will appear separately on invoices. GST registration details will be provided upon request.

Late payments beyond 14 days of the invoice due date may result in work being paused until outstanding amounts are settled. NetAddons reserves the right to charge interest on overdue amounts at the rate of 1.5% per month.

5. Intellectual Property

Upon receipt of full and final payment, the client receives ownership of all final deliverables created specifically for their project, including but not limited to: website design, source code, graphics, and written content produced by NetAddons.

The following rights are retained by NetAddons:

• The right to display completed work in our portfolio, case studies, and marketing materials, unless the client requests confidentiality in writing before project completion.
• Ownership of any pre-existing tools, frameworks, libraries, templates, or methodologies used to build the deliverables. These are licensed to the client for use within the delivered project but remain the intellectual property of NetAddons.
• Intellectual property in any deliverables for which full payment has not been received remains with NetAddons until payment is complete.

Clients warrant that any content, images, trademarks, or materials they provide to NetAddons for use in the project do not infringe the intellectual property rights of any third party.

6. Revisions

The number of included revision rounds is specified in the project proposal. Revisions within scope are amendments and corrections to the agreed deliverables — they do not include new features or changes to the agreed scope.

• Revision requests must be submitted clearly and in writing (email is acceptable).
• Additional revision rounds beyond those included in the proposal will be billed at our prevailing hourly rate, which will be communicated to the client before additional work begins.
• Revisions requested after final sign-off or project closure may be treated as a new project and quoted accordingly.

7. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the course of a project:

• NetAddons will keep client business information, strategies, data, and credentials confidential and will not disclose them to third parties without written consent, except where required by law.
• Clients agree to keep NetAddons' processes, methodologies, pricing structures, and proprietary tools confidential and not to share them with competitors or third parties without prior written consent.

Confidentiality obligations survive the termination of any project agreement for a period of 2 years.

8. Limitation of Liability

NetAddons provides services with reasonable skill and care. However, to the fullest extent permitted under applicable Indian law:

• NetAddons shall not be liable for any indirect, incidental, special, or consequential loss or damage arising from use of our services, including but not limited to loss of revenue, loss of data, loss of business, or loss of profits.
• Our maximum aggregate liability to any client in connection with a project shall not exceed the total project fees paid by the client to NetAddons for the specific project giving rise to the claim.
• NetAddons is not responsible for any third-party services, platforms, or tools integrated into a project (including hosting providers, payment gateways, or advertising platforms) and their downtime, data loss, or policy changes.
• NetAddons does not guarantee specific search engine rankings, advertising performance, or business outcomes as a result of digital marketing services.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and its amendments, and other applicable Indian legislation.

Any disputes arising from these Terms or from any project engagement with NetAddons shall be subject to the exclusive jurisdiction of the courts located in Kozhikode, Kerala, India. Both parties agree to attempt resolution through good-faith negotiation before initiating formal legal proceedings.
